Disclosure of Our Quality Policy
AQUASUB MERGULHO COMERCIAL, a diving service company, working in inspection activities, repairs with wet welding, underwater cutting, salvage, buffering, balancing of submerged thrusters and rescue.
This Code of Ethics aims to clearly define the principles that guide the actions and guidelines of AQUASUB MERGULHO LTDA, as well as its commitments to conduct, in order to become a clear and objective reference for the work of each employee of the company, offering parameters and guidelines that will strengthen the culture and identity of the company AQUASUB MERGULHO LTDA. The adoption of this code of ethics in addition to integrating the Company and its Employees, determining a uniformity in their conduct, making their respective postures more serious, transparent, humble and fair. Consolidate the guidelines of integrity, prevention and fight against corruption in the relationships of AQUASUB MERGULHO LTDA, with the public or private administration, national or foreign.
This policy must be followed and disclosed by those who are present in the value chain of AQUASUB MERGULHO LTDA, including, but not limited to, its board of directors, but employees, attorneys and service providers and all those who act on behalf of AQUASUB MERGULHO LTDA.
Everyone's professional relationships will be guided by legitimacy, isonomy and transparency, whether with public or private agents. There will be no penalty for delay or loss of business resulting from a refusal to offer, promise, or give an undue advantage. Personal relationships with public agents are not covered by this policy.
Meetings with public officials must be held during business hours, in professional environments and, whenever possible, preceded by a formal written request. It is recommended that the matters dealt with, date, place and people participating in the meetings be recorded in the minutes of the meeting, especially if such interactions refer to: bids; actuations; tax breaks; obtaining licenses or permits; terms of conduct adjustment; meetings and discussions on the sector of activity and sectorial regulation.
The records of these meetings may be made through minutes or equivalent records, documenting the formal and institutional nature of the contact with the public agent. It is recommended that such meetings be held with the participation of at least (two) representatives of AQUASUB MERGULHO LTDA, and that their records be forwarded to the HR Sector for archiving via email: contato@aquasubdive.com.br. Contacts with public agents at service desks, inspections, contractual terminations, inspections, obtaining guides and certificates, notarial transactions or protocols, hearings and orders with a judge will not require the records mentioned above. It is only up to the representative of AQUASUB MERGULHO LTDA to pay attention to the ethical guidelines.
Payment of travel, accommodation, events and entertainment expenses to public agents is not allowed unless such payments or reimbursements arise from a legal or contractual obligation.
The hiring of a politically exposed person is allowed, provided that the following premises are previously met: comply with current legislation; its integrity assessment is carried out by the Company's board of directors; be submitted for approval by the Board of Directors; respect legal quarantine periods when applicable. Once the hiring is carried out, an updated record must be kept in the Human Resources Area, with a technical basis for hiring that allows monitoring by the Board of Executive Officers. Upon admission, the employee will no longer be considered a politically exposed person for the purposes of this policy. The recruitment, selection or hiring of candidates with the objective of obtaining, granting or offering undue advantages is not allowed.
Third parties must: • Acknowledge the Code of Ethics of AQUASUB MERGULHO LTDA. • Sign the register of knowledge about the Code of Ethics. The hiring of a supplier or service provider that has a politically exposed person in its corporate structure or on its board of directors must be submitted to the prior approval of the Board of AQUASUB MERGULHO LTDA.
The HR area of AQUASUB MERGULHO LTDA is responsible for carrying out training on the Integrity Program and Code of Ethics and on the Conduct Procedure. The objective of the training is to disseminate the culture of compliance and disseminate the guidelines of the Integrity Program and Code of Ethics, as well as inform and raise awareness among employees about the anti-corruption laws in force. The target audience and frequency and content of each training will be defined by the HR Area, as well as the need for additional training.
